SKYWORKS’ PRIVACY NOTICE

This Privacy Notice (“Notice”) describes how Skyworks LLC and its subsidiaries (collectively, “Skyworks”), collect, use, share, retain, transfer and otherwise process information relating to identified or identifiable individuals (Personal Information), and the rights you may have regarding your Personal Information. We believe that it is important for you to understand how we process Personal Information and encourage you to take a moment to familiarize yourself with our privacy practices outlined below.

You should review this Notice and the website’s Terms of Use (“Terms”) carefully, and be sure you understand them, prior to using the website.  Your use of the website is deemed to be your acceptance of this Notice and the Terms.  If you do not agree to this Notice or the Terms, you should immediately terminate your use of the website and should not otherwise interact with Skyworks.  For purposes of this section, accessing the website only to review this Notice or the Terms is not deemed to be use of the website.

DEFINITIONS

In this Notice:

“Analytical Data” means all Non-Personal Information obtained through the use of session and persistent cookies (or other tracking technologies) and server log files (including, but not limited to, (i) your search terms, (ii) your computer’s access date and time, browser, connection speed, Internet service provider, language, location, manufacturer, visit details, and operating system, and (iii) whether or not you opened e-mail messages and other electronic communications from Skyworks, and if you did, the times they were opened).

“California Information” means all Personal Information that relates to residents of California and that is covered by the California Consumer Privacy Act or the California Online Privacy Protection Act, including any amendments thereto, (collectively, the “California Laws”).

“Collected Data” means all (i) Personal Information and (ii) Non-Personal Information that is obtained from you through this website or otherwise in the ordinary course of Skyworks’ business. 

“Non-Personal Information” means all information that is not Personal Information (including, but not limited to, any Analytical Data) and that is electronically collected by Skyworks through the website and e-mail messages and other electronic communications sent by you to Skyworks. 

“Personal Information” means all information collected by Skyworks, electronically or manually, through (i) the website, (ii) e-mail messages and other electronic communications that you may send to Skyworks, and (iii) other sources in the ordinary course of Skyworks’ business, that relates to an individual or household and that identifies, or can be used in conjunction with other readily-accessible information to identify, such individual or household (including, but not limited to, such individual’s name, e-mail, address and phone number). 

HOW AND WHAT PERSONAL INFORMATION WE COLLECT

All Collected Data, including Personal Information, obtained from you is provided by you (or by a third party on your behalf) voluntarily, except for any Analytical Data obtained automatically through the website as set forth in this Notice.  For example, Skyworks collects the following categories of Personal Information where appropriate to fulfill our intended business purposes:

ELECTRONIC MAIL COMMUNICATIONS

Whether or not you have previously sent Skyworks an e-mail message, you consent to Skyworks’ sending you e-mail messages and other electronic communications (a) in connection with your use of the website, or (b) for any other legitimate business purpose of Skyworks (including, but not limited to, marketing).  Since Skyworks endeavors to send e-mail messages and other electronic communications only to individuals desiring to receive them, you can unsubscribe to such e-mail messages or other electronic communications at any time by contacting Skyworks as set forth in Contact Information Section below or following the “unsubscribe” directions contained in such e-mail messages or other electronic communications.

ANALYTICAL DATA AND TARGETED ADVERTISING

This website utilizes essential cookies to save your website preferences and nonessential cookies to collect Analytical Data and for marketing purposes as described below. When you access the website, you will be notified of our use of cookies and similar technologies and will be given the option to “Accept All” cookies used by the website, or to “Manage Cookies” which will allow you to select the use of certain types of cookies.  If you click “Manage Cookies” you will have the option to disable our use of all nonessential cookies, but this will not disable our use of essential cookies.  You may modify your preferences at any time by clicking “Your Privacy Choices” at the bottom of the website’s landing page and selecting the types of cookies you wish to accept.  Your browser may also provide you with the ability to block cookies as well as the ability to delete already existing essential and nonessential cookies. Analytical Data will only be used by Skyworks (a) to record your use of the website, (b) to diagnose problems with the website, (c) to improve the website and make the website more useful to you and other users, (d) to assist in Skyworks’ marketing efforts, and (e) for other legitimate business purposes of Skyworks. Skyworks will collect Analytical Data either directly or through third parties acting on its behalf.  Google Analytics is one of the third parties used by Skyworks to collect Analytical Data. Skyworks also uses third parties to improve our ability to identify visitors to the website. As part of this service, we may share available identifiers with these third parties including our visitors’ IP addresses, cookies, and hashed versions of email addresses captured from your visit. We, and third parties, use this data to obtain more information about our visitors and reach out to them through other channels.  In the case of internet ads, these third parties may combine and use data collected through your use of the website with data they collect over time and across different websites for their own purposes. You have the right to opt-out of this activity. TRANSFER OR DISCLOSURE OF COLLECTED DATA

Any Collected Data obtained by Skyworks, whether or not for a specific purpose, may be transferred to third parties relied upon by Skyworks in the ordinary course of its business (including, but not limited to, any affiliates, distributors, sub-contractors or vendors of Skyworks) for any purposes for which Skyworks could use such Collected Data.  For example, Skyworks may share Collected Data with third party marketing partners for commercial purposes. All such third parties shall process, protect, transfer and use such Collected Data in accordance with the provisions of this Notice and Skyworks shall continue to remain responsible for such Collected Data.

Skyworks may also at any time, in its sole discretion, transfer any Collected Data, whether or not you furnished such Collected Data for a specific purpose, to (a) comply with, or as permitted by, any applicable law or lawful request of a government or public authority for purposes of satisfying national security, law enforcement and other similar requirements, (b) cooperate with law enforcement, and other third parties, in investigating a claim of fraud, illegal activity or infringement of intellectual property rights, (c) protect the rights, property or legitimate business interests of Skyworks or a third party, or (d) transfer such Collected Data to a third party acquiring all, or substantially all, of the assets of Skyworks.  If Collected Data is transferred to a third party pursuant to this paragraph, Skyworks will have no responsibility for any use of such Collected Data, or any action of, the third party to whom or which such Collected Data is transferred or for the failure of such third party to protect such Collected Data.  The categories of third parties with whom or which Skyworks shares California Information are set forth in Skyworks’ California Privacy Disclosures.

USERS FROM OTHER JURISDICTIONS

The website and business operations are controlled and operated by Skyworks from the United States. If you choose to use the website or provide information to us, please note that your Personal Information may be processed in the United States.  The United States does not have an adequacy decision from the European Union, which is a formal acknowledgement from the AU that another country provides an equivalent level of protection for Personal Information as the EU does.

By providing Personal Information to Skyworks for the purpose of using or inquiring about our products and services, you consent to the transfer of Personal Information to the United States.  The transfer of that Personal Information to the United States is necessary for Skyworks to provide requested information and services.  Because of the inherent security issues associated with electronic communications and storage, there is some risk that the Personal Information provided may be compromised in the event of a security incident.  However, refusal to provide certain Personal Information, such as an email address, may prevent Skyworks from being able to provide requested information and to complete requested transactions.

PAYMENT PROCESSING

Skyworks uses Authorize.net to process payments made by customers for products and services.  We do not collect, process or retain payment information.  However, Skyworks ensures that obligations substantially no less protective than those set out in this Privacy Notice are imposed on our third party vendor by way of contract or other legally binding agreement, in particular providing sufficient guarantees that technical and organizational measures are implemented in such a manner to meet the requirements of this Privacy Notice and the relevant data protection laws.  We recommend that you review the privacy policy of Authorize.net to learn more about how it handles your personal information at https://usa.visa.com/legal/global-privacy-notice.html.

THIRD-PARTY SITES

Skyworks’ website may contain links to, or be accessible from, websites provided by third parties (individually a “Third-Party Site”).  Your use of a Third-Party Site will be subject to its terms of use and other provisions, and you are responsible for complying with such terms and other provisions.  This Privacy Notice does not cover the privacy policies or practices of any Third-Party Site, and Skyworks is not responsible for any information you submit to, or is otherwise collected by, any Third-Party Site.  Skyworks is only responsible for Collected Information obtained by it (a) through your authorized use of the website, or (b) from other sources in the ordinary course of its business.  You should consult each Third-Party Site for its privacy policy or practices before submitting any information to, or otherwise using, such Third-Party Site.

SECURITY

Skyworks strives to comply with all applicable cybersecurity and data protection laws. Except as provided in the immediately following sentence, Skyworks will use commercially reasonable efforts to protect Personal Information from loss, misuse, unauthorized access, alteration, destruction, and disclosure. Certain Personal Information posted by you on the website may be accessible to the general public, and Skyworks is not responsible for protecting such Personal Information from loss, misuse, unauthorized access, alteration, destruction, or disclosure. Also, since no transmission of information over the Internet or electronic storage of information is completely secure, it is possible that Collected Information could be lost, misused or accessed, altered, destroyed, or disclosed without authorization, even if Skyworks uses such reasonable efforts. In providing information to Skyworks, you assume the risk that Collected Information could be lost, misused or accessed, altered, destroyed, or disclosed without authorization.

PRIVACY RIGHTS AND CHOICES

If you reside in certain jurisdictions, like the European Union, which have enacted comprehensive data privacy laws, you may have some or all the rights listed below in connection with the use of your Personal Information.  Please note that we may need to use your Personal Information to verify your identity prior to processing any of the below rights.

• Right of access (Right to know)
  You may ask us to provide you with further details on how we make use of your Personal Information including, the sources, the reasons for processing your Personal Information, the legal basis for doing so, the categories or specific pieces of Personal Information we have collected, the categories of third parties to whom we have disclosed the information, and you may request a copy of the Personal Information that we hold about you.

• Right to correct
  You may ask us to update any inaccuracies in the Personal Information we hold. If we disclose your Personal Information to others, we will ask them to make the correction where possible.

• Right to delete
  You may ask us to erase any Personal Information that we have collected about you. We will take all commercially reasonable steps, including technological solutions, to delete this data from our systems and to notify any third parties which are processing your Personal Information that you have exercised this right.

• Right to object to or restrict processing 
  You may have a right to restrict the processing of your Personal Information in certain circumstances, such as where you contest its accuracy, or where the Personal Information is no longer needed by Skyworks.  If Skyworks is processing your Personal Information for its legitimate interests, you may nonetheless object and we will no longer process your Personal Information unless we can demonstrate that there is a compelling reason.

• Right to data portability 
  You may have the right, where it is technically feasible, to ask that we transfer to a third party of your choice a copy of Personal Information we have obtained from you, in a structured, commonly used, and machine-readable format.

• Right to withdraw consent
  If we rely on your consent as our legal basis for processing your Personal Information, you have the right to withdraw that consent. 

• Right to lodge a complaint
  In some jurisdictions, you may have the right to lodge a complaint with the relevant supervisory or regulatory authority in your jurisdiction if you have a concern about any aspect of our privacy practices. 
  

• Right Not to be Subject to Automated Decision-Making
  Skyworks will not engage in decision-making based solely on automated processing.

CALIFORNIA RESIDENTS

A comprehensive description of Skyworks’ online and offline information practices pertaining to California Information, and an explanation of the rights afforded to California residents pursuant to the California Laws, can be found at the following link: California Privacy Disclosures.  Skyworks does not sell California Information.  Skyworks does not discriminate against a California resident for exercising any right of such resident under the California Laws, except as permitted under the California Laws. 

CHILDREN

The website is not directed to, or intended for, children under 13 years of age.  However, if a parent or guardian of a child who is under 13 years of age discovers that Personal Information of such child has been submitted to Skyworks through the website without the parent’s or guardian’s consent, Skyworks will use commercially reasonable measures to remove such Personal Information from Skyworks’ servers at the parent’s or guardian’s request.  To request the removal of such Personal Information, the parent or guardian must contact us as set forth in Contact Information Section, and provide all information requested by Skyworks to assist it in identifying the Personal Information to be removed.

RETENTION OF PERSONAL INFORMATION

Skyworks’ products and services are complex, and thus our retention periods for Personal Information vary.  We consider the following obligations when setting retention periods for Personal Information and the records we maintain:

• the need to retain information to accomplish the business purposes or contractual obligations for which it was collected;

• our duties to effectuate our clients’ instructions with respect to Personal Information we process on their behalf;

• our duties to comply with mandatory legal and regulatory record-keeping requirements;

• our backup and disaster recovery procedures; and

• other legal impacts such as the applicable statute of limitations periods.

Based on the factors above, we may retain Personal Information beyond the period for which we provide services to you. When we no longer need to retain Personal Information, our company policies require that we either de-identify or aggregate the information (in which case we may further retain and use the de-identified or aggregated information for analytics purposes) or securely destroy it.

APPLICABLE LAW

This Notice shall be governed by, and construed and interpreted in accordance with, (a) in in the case of California Information, and solely to the extent required by the California Laws, the California Laws, (b) any other applicable privacy law solely to the extent required by such law, and (c) in all other cases, the laws of New York, without regard to its principles of conflict of laws. 

COMPLAINTS

Any complaint by you regarding any Collected Data, or otherwise relating to this Notice, must first be submitted to Skyworks as set forth in the contact information section, and Skyworks must be given a reasonable opportunity of not less than 30 days to investigate and respond to your complaint.  Upon Skyworks’ completing such investigation and so responding, Skyworks and you must then attempt, in good faith, to promptly resolve any remaining aspects of your complaint.  If any aspect of your complaint remains unresolved after an additional reasonable period of not less than 30 days, the dispute must be resolved in accordance with the dispute resolution procedures contained in Skyworks’ Terms Of Use.

ENTIRE AGREEMENT 

This Notice contains the entire agreement, and supersedes all prior oral and written agreements, proposals and understandings, between you and Skyworks, with respect to Collected Data. 

SEVERABILITY

Whenever possible, each provision of this Notice shall be interpreted to be effective and valid under applicable law.  If, however, any such provision shall be prohibited by or invalid under such law, it shall be deemed modified to conform to the minimum requirements of such law, or if for any reason it is not so modified, it shall be prohibited or invalid only to the extent of such prohibition or invalidity without the remainder of such provision, or any other provision of this Notice, being prohibited or invalid.

REVISIONS

Skyworks may revise any provision of this Notice from time to time by posting the revised provision on the website so long as such revision does not conflict with any applicable law.  Any such revision will take effect immediately upon such posting, and will apply to all Collected Data obtained by Skyworks after such posting.  It is your responsibility to periodically check for revisions to this Notice on the website.  The latest version of this Notice will always be the one posted on the website.

EXPENSES

Except as provided in this Notice or by any applicable law, you are solely responsible for all fees and disbursements of any attorney or other advisor retained by you in connection with enforcing your rights under this Notice.
